Our team has acted in a range of high profile and high value insurance business transfers both as part of takeovers and resultant demutualisations as well as internal transfers for restructuring purposes. 

We have acted most recently in the demutualisation and flotation of Standard Life.  We have also been involved in a number of intra-group restructurings done by way of insurance business transfer schemes through both the English and Scottish Courts.

We team closely with our corporate and litigation teams to deliver a first-class service in an increasingly complex and regulated environment.

The team also has a considerable track record of advising insurers on a wide range of legal and regulatory issues. Areas we have advised on include:

• permitted links rules issues;
• PPFMs and CFPPFMs;
• the effect of the Insurers (Reorganisation and Winding-Up) Regulations;
• legal structures needed to equalise the ranking of reinsurance and direct insurance creditors;
• new product design; and
• the regulatory issues arising from commercial transactions including acquisitions, disposals, restructurings and distribution arrangements.
